I am planning to install a metal roof (slate or shingle) over an existing composite(good shape) roof. Is there a moisture proof underlay that would be suitable for this application. I have had some ice dam problems in the past. I don't think felt is the answer.

There are several synthetic underlayments, both self-adhering and non-self-adhering.
You may want to consider one that withstands high temperatures. Your roofing manufacturer should be able to help you find something appropriate.
As for the ice damming, I would also look to make sure that insulation and ventilation are good. A metal roof will not necessarily make up for deficiencies in those areas.
