I am having a new metal roof ("U" panel) installed. Should the roof vents (12" square) be installed under or over the metal roof. Is it OK to do on the top of the metal?

I'm not sure what youare referring to as a U panel however always consult with the manufacturer. As to installing shingle vents in a flat panel, you typically cut sheet so that the lower half goes from the center of the hole down. Then install the vent in a bed of butyl tape, then install the upper sheet over with the lower edge of the sheet to the lower edge vent and setting it in butyl tape. Most are finding it easier to use a vented ridge closure strip under the ridge cap.
