I have been looking into a metal roof system. I have a concern with the old material. The boarding is chip board, not plywood. The roof is badly decaded and I womder if the boarding as been wet. What if any are the advantages to removing all old material or instaling a new metal roof right over what is already there?

Your roof has failed and you should try and discover why. Quite possibly it was not ventilated properly, it could have extreme heat and moisture loss and the shingles could be leaking.
If there is any doubt tear the shingles off, so you no what you are dealing with and deal with any other issues at the same time. Choose a system that can mount on strapping to stand it off the OSB board and install a good underlayment.

Thank you Allan,
I have had several companies out to price the roof job, one of which is selling a Dura-Loc system. One company says take everything off and lay new board sheeting. The other says roof right over top of the old material. I am unsure what to do. If the old board has been wet and they roof right over it, will I have futher problems? Also is it common, for companies NOT to look in the attic before pricing a job? I hope you can advise me on what to do. Thanks agin for all the help
