METAL ROOFING/CONTRACTOR/MATERIAL SUPPLIER PARTICIPATION AND INDEMNIFICATION AGREEMENT
By clicking "I Agree" below, the undersigned a metal roofing contractor/material supplier (hereinafter, "Contractor/ Material Supplier"), hereby applies to participate in the Metal Roofing Alliance (MRA) "Find a Contractor or Material Supplier" program (the "Program"). In consideration of and as a condition of participation, Contractor/ Material Supplier hereby warrants and agrees to hold harmless and indemnify the MRA, its officers, directors, employees, members and representatives from any and all claims, demands, actions, causes of action, judgments, liabilities, losses and/or damages, including reasonable attorneys fees and costs (collectively referred to as "claims"), arising out of or relating to Contractor/ Material Supplier's participation in the Program, including, but not limited to, any claims relating to the quality or performance of metal roofing materials supplied and/or the quality of work performed.
Contractor/ Material Supplier understands that MRA does not endorse the products or services of any of the companies listed in the Program. Contractor/ Material Supplier warrants and agrees not to make any claim or representation that MRA has endorsed any products or services.
Contractor/ Material Supplier also understands and agrees that through participation in the Program, Contractor/ Material Supplier may be provided with access to consumer contact or “lead” information compiled by the MRA in response to consumer inquiries about metal roofing products, contractors and material suppliers. Contractor/ Material Supplier acknowledges that one of the principal objectives of MRA and its membership is to promote the metal roofing industry and its products to the public and that MRA has devoted considerable time, effort and expense in the development of consumer lead information under the Program. In consideration of being provided with access to such consumer lead information, Contractor/ Material Supplier warrants and agrees that it will use any consumer lead information arising out of the Program consistent with the objectives of MRA and will not sell, transfer, exchange, distribute or otherwise make available such consumer lead information to any third party . Contractor/ Material Supplier understands and agrees that in the event of any breach of this warranty, Contractor/ Material Supplier's membership in the MRA will be subject to immediate termination, all dues paid to the MRA shall be forfeited, and Contractor/ Material Supplier may be subject to an action for injunctive relief and/or damages (including payment of MRA's reasonable attorneys fees and costs) for misuse of the information.
Contractor/ Material Supplier further understands that participation in the Program requires the sponsorship of a Manufacturer member in good standing. In the event that the sponsoring Manufacturer becomes not of good standing, Contractor/ Material Supplier will be notified and given 30 days within which to obtain the sponsorship of another Manufacturer in good standing or be removed from the Program.
The warranties, indemnification and hold harmless provisions of this agreement shall survive Contractor/ Material Supplier's participation in the program and/or membership in MRA.
The Metal Roofing Alliance is a consortium of metal roofing manufacturers, suppliers, distributors, and contractors with the main goal of educating consumers about the many benefits of metal roofing.
